The rate card, in writing

7%. And 5% only over $2 million a year in collections.

That is the fee, in writing, so there is nothing to negotiate later. The five is for practices coming to market for the first time. If another broker already had it, I have to sell it twice: sell back the story they told, then sell the truth. That is a lot of work, so I do not do it at five.

For context: industry sources put dental broker fees at 6–12%, with 10% the figure most commonly quoted. I work with DSOs and their offers as well as private buyers.

Before you sign anything, you get straight answers to the questions every owner has. What you do not get for free is the file that sells the practice; that is the work, and it is mine once we list.

01Whether now is the timeList in September or October, go under contract in the fourth quarter, close in January. That calendar puts the sale in a new tax year, and it has the lenders underwriting your file while they are moving instead of in the holiday slowdown. A practice that lists in November is fighting the calendar.
02Roughly where it landsA confidential value range and the honest reason it is wide. The single number a bank will lend on is built from the add-back schedule and the earnings restatement, and that is built after we list, for you, not for the market.
03What buyers want this fallFive-day schedules, a real hygiene program, a lease with five or more years and options, and a seller willing to stay on to see the successful transition through. I have a room full of them at the Buyers’ Brunch and on my standing showing slots every week.
04What kills a deal before priceAn associate about to leave, a lease under three years, one carrier carrying the book, and staff who find out too early. None of these kills a deal if I get ahead of it. All of them do if a buyer finds it first.
05DSO or privateI work with both. The right answer depends on how much of the production is yours and how long you want to keep practicing. I will tell you which on the phone, and why.
06What a bank says yes toNot the bottom line of your tax return. That gap is where practices get sold for less than they are worth, and closing it is exactly what you pay me for.

No buyer walks through your door until they have cleared intake: identity, license, financing readiness, and your schedule. You host; they come as colleagues.

The listing agreement, then the work

The add-back schedule, the earnings restatement, the lender file, the documented story. Nothing is built and nothing is marketed until the agreement is signed.

Step four

The quiet market and the showings

Anonymized profile to vetted buyers. Lenders read the file before buyers do. Showings run on a standing slot you set, with you hosting.

Step five

Offer, escrow, close

Offers come to you with context, not pressure. Once signed: financing on day zero, a named close date, and a runbook that keeps every party moving until the wire lands.
